Fine Law | Patrascanu & Associates is a Bucharest Based law firm of experienced lawyers with expertise in handling diverse and complex commercial transactions and providing Labour and Employment Law advice.

In July 2007, Iulian founded Fine Law | Patrascanu and Associates, with a strategic focus on Regulatory & Compliance. Fine Law’s drive is to be simply the best, setting the standard in building compliance programs in Romania.

Iulian has over 20 years experience advising local and multinational companies in Employment & Labour, Merger & Acquisition and Competition Council matters. Throughout his practice, Iulian was counsel to clients such as Ericsson, Unilever, Wipro Ltd, American Express Bank, Citibank, Romtelecom, Hewlett Packard, Impress France, British Telecom, Coca-Cola, Colgate Palmolive, Dubai Ports International, LG, Pfizer, Bucharest Stock Exchange, C&A.

Iulian regularly advises large multinational companies in all areas of merger & acquisition, including advice in merger plans, transactional documentation, extensive due diligence (pre and post transactions) and labour and employment, including Management exits for Top Management individuals; collective bargaining agreements (drafting, negotiations, interpretation and implementation); employee benefit agreements (including drafting and implementation of stock-option plans); collective dismissals, internal employment policies and procedures, labor relations due diligence, labour and employment law trainings and employment dispute resolution.

Iulian conducts compliance programs in relation to labour and personnel policies. He is the author of the first compliance program in human resources and labour law, which he coordinates within Fine Law.

Iulian participated as a speaker to labour law conferences and he is the author of articles on specific labour law topics, published in labour law journals and magazines in Romania.

Oana Lupu

is a Partner of Fine Law, with significant expertise in corporate and commercial matters, as well as employment related matters.

She has acted for acquisition of companies, the formation and reorganization of corporate structures for specific business purposes, joint ventures and other cooperation agreements and handled the whole range of legal issues connected with such business activities. With regard to employment law, Oana has significant experience in handling employment and labour law questions in relation to M&As, the restructuring of companies, transfer of undertakings, sales of businesses and outsourcing, collective redundancies, HR due diligence.

She represents both domestic and international clients from a number of industry sectors, including outsourcing, fashion retail, IT&C, green energy, as well as fast moving consumer goods.

Oana has assisted in some complex transactions, such as:

- Representing an Irish investment group in an ICC arbitration in connection with a contractor default in a 28 million turnkey investment in a bio-mass project;

- Successfully assisted a stock exchange operator during a major business reorganization process, including advising in various aspects, preparing the strategy, drafting all the documents for the implementation of a restructuring process and termination of the employment contracts;

- Drafting and conducting compliance reports on data protection for several companies acting in several industries such as outsourcing and fashion retail.

Oana joined Fine Law as a junior lawyer in 2012, qualifying in corporate & commercial, labour & employment, data protection, and becoming a Senior Lawyer in 2016. She speaks English fluently.
